Terms of Service

1. Description of Service

AxonChat is a software-as-a-service platform that allows businesses and individuals to create AI-powered chatbots trained on their own documents. Core features include document upload and processing, chatbot configuration, an embeddable chat widget for third-party websites, conversation management, and lead collection.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

2. Account Registration

To use AxonChat, you must register for an account. You agree to:

• Provide accurate, complete, and up-to-date information during registration
• Keep your login credentials confidential and not share them with others
• Notify us immediately at contact@axonwise.com if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years of age or have the legal capacity to enter into a binding agreement in your jurisdiction to use this service.

3. Acceptable Use

You may not use AxonChat to:

• Violate any applicable laws or regulations
• Upload or distribute content that is illegal, defamatory, obscene, or infringes on third-party intellectual property rights
• Send spam, unsolicited messages, or engage in phishing through chatbots
• Intentionally deceive or mislead website visitors interacting with your chatbot
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Scrape, crawl, or systematically extract data from the platform without prior written consent
• Use the service in any way that could damage, disable, or impair the platform or interfere with other users

We reserve the right to investigate and take appropriate action, including account suspension or termination, for any violation of this section.

4. Content Responsibility

You retain full ownership of the documents you upload and the chatbots you create. By uploading content to AxonChat, you grant us a limited, non-exclusive license to process and store that content solely for the purpose of operating the service on your behalf.

You are solely responsible for ensuring that:

• You have the right to upload and use the documents and content you provide
• Your uploaded content does not violate any applicable laws, third-party rights, or these Terms
• The information your chatbot provides to website visitors is accurate, appropriate, and compliant with relevant regulations

AxonChat reserves the right to remove content that violates these Terms without prior notice.

5. AI-Generated Responses

Chatbot responses on AxonChat are generated using artificial intelligence and are based on the documents you upload. These responses may be incomplete, inaccurate, or outdated.

• AI-generated content should not be relied upon for legal, medical, financial, or safety-critical decisions
• You, as the chatbot owner, are responsible for the accuracy and appropriateness of responses your chatbot delivers to your website visitors
• AxonChat makes no guarantees about the accuracy or fitness of AI-generated responses for any particular purpose

6. Widget and Third-Party Embedding

When you embed an AxonChat widget on your website, you become responsible for:

• Ensuring your use of the widget complies with all applicable laws, including data protection laws in your jurisdiction
• Maintaining a privacy notice on your website that discloses to visitors that a chatbot may collect their name, email, and other information they voluntarily provide during a conversation
• Obtaining any consents required by applicable law before collecting visitor information through the lead collection feature

AxonChat is not liable for any claims arising from your deployment of the widget on your website.

7. Payments and Subscriptions

Subscriptions are billed on a recurring basis and are processed by Razorpay. By subscribing, you authorize Razorpay to charge your payment method at the start of each billing cycle.

• Prices are listed at checkout and may change with at least 30 days' prior notice
• You are responsible for all applicable taxes
• If a payment fails, we may suspend your account until payment is resolved

8. Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your access to the paid plan continues until the end of the current billing period
• No further charges will be made after that date
• Your data will be retained for a reasonable period after cancellation and may be deleted thereafter per our Privacy Policy

9. Refund Policy

All payments are non-refundable except where required by applicable law. We may, at our sole discretion, offer credits or exceptions in exceptional circumstances. To request a review, contact us at contact@axonwise.com.

10. Intellectual Property

You retain ownership of all content you upload and the chatbots you create. AxonChat retains all rights, title, and interest in the platform itself, including its software, user interface, algorithms, branding, and underlying technology.

Nothing in these Terms transfers any ownership of AxonChat's intellectual property to you. You are granted a limited, non-transferable, non-sublicensable license to use the platform solely for your own business purposes during your active subscription.

11. Limitation of Liability

The AxonChat platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law:

• AxonChat and Axonwise Technologies shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the service
• Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees you paid to AxonChat in the three months preceding the claim

12. Indemnification

You agree to indemnify, defend, and hold harmless Axonwise Technologies and its team from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the platform
• Content you upload or your chatbot configurations
• The deployment of an AxonChat widget on your website
• Your violation of these Terms or any applicable law

13. Termination

We may suspend or terminate your account at any time if you breach these Terms, engage in fraudulent activity, or use the service in a way that harms others or the platform.

You may close your account at any time. Upon termination, your access to the service will cease and your data will be handled in accordance with our Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. When changes are material, we will notify you by email or through a notice on the dashboard. Continued use of AxonChat after the updated Terms are posted constitutes your acceptance of the changes.

15. Governing Law

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or the use of AxonChat shall be subject to the exclusive jurisdiction of the competent courts of India.
